A Ripple-backed company built around an XRP (XRP) treasury strategy is one shareholder vote away from potentially joining Nasdaq, opening another route for traditional investors to gain exposure to the XRP ecosystem through public markets.
The US Securities and Exchange Commission has declared effective Evernorth’s Form S-4 registration statement covering its proposed merger with special purpose acquisition company Armada Acquisition Corp. II.
Armada shareholders will vote on the transaction on Sept. 30. If approved and the remaining listing conditions are satisfied, the combined company is expected to trade on Nasdaq under the ticker XRPN, with closing targeted for late September or October.
The development comes as XRP trades around $1.42 following a volatile rally that briefly carried the cryptocurrency toward $1.70 last week.
Ripple, Kraken, and Pantera back Evernorth
Evernorth has attracted a group of prominent crypto investors, including Ripple, SBI Group, Pantera Capital, Kraken, GSR, and Arrington Capital.
The company’s connection to Ripple extends beyond its shareholder base. Evernorth founder and CEO Asheesh Birla previously led Ripple’s payments business for more than a decade.

Unlike traditional crypto treasury companies that primarily accumulate and hold one digital asset, Evernorth plans to actively manage its XRP reserves.
Its strategy involves deploying capital into XRP-related infrastructure, ecosystem participation, and capital markets activities to increase the amount of XRP represented by each Evernorth share over time.
Evernorth also intends to supply capital across areas such as tokenized assets, onchain credit markets, and payments infrastructure.
XRPN could bring XRP treasury strategy to Nasdaq
The planned Nasdaq listing would give investors a publicly traded company whose balance sheet and business strategy are explicitly centered on XRP.
The model echoes the crypto treasury strategy pioneered by Strategy with Bitcoin, but Evernorth is proposing a more active approach rather than simply accumulating tokens.
That distinction could also introduce additional risks. Digital asset treasury companies can trade above or below the net value of their cryptocurrency holdings. When shares fall below the value of their reserves, raising additional capital through equity issuance can become considerably less attractive.
The Sept. 30 vote represents the next major hurdle before XRPN can begin trading.
XRP price battles $1.47 amid IPO news
The listing progress arrives during renewed institutional interest in XRP.
US spot XRP exchange-traded funds (ETFs) have continued recording net inflows, while XRP has recovered from an Aug. 27 low near $1.37 to around $1.42.
Technically, the immediate challenge sits around $1.45-$1.47. A sustained breakout could put $1.50-$1.52 back into play, followed by $1.55 and eventually the recent $1.67-$1.70 peak.
On the downside, $1.40 remains the first important support.
Evernorth’s potential Nasdaq debut does not guarantee additional XRP demand or higher prices. However, a successful listing would add another regulated public-market vehicle tied directly to the XRP ecosystem, potentially strengthening the cryptocurrency’s growing institutional narrative.
