Consensys Splits Into Two Companies to Decouple MetaMask From Institutional Ethereum Tech

Point of Focus

  • Consensys Software Inc. has split into two independent companies.
  • MetaMask will become a standalone company led by Joseph Lubin.
  • Users won’t need to take any action.

Consensys Software Inc. has split into two independent companies, separating MetaMask’s consumer platform from the group’s Ethereum protocol and institutional infrastructure operations.

The existing company behind MetaMask will adopt the MetaMask name and focus exclusively on the wallet and its expansion into broader financial services.

A newly formed company will retain the Consensys name and take control of Linea and the group’s other protocol and institutional businesses.

Joseph Lubin takes leadership roles at both companies

Ethereum co-founder Joseph Lubin will serve as chairman and chief executive of MetaMask. He will also remain involved with the new Consensys company as its executive chairman.

Lubin said the split would allow each business to focus on a distinct market. MetaMask will concentrate on consumer-facing products, while Consensys will pursue business-to-business and business-to-business-to-consumer opportunities tied to Ethereum infrastructure.

The separation does not mean that the companies will stop working together. Lubin said Consensys will remain an important channel partner for MetaMask.

The restructuring reflects the growing divergence between crypto’s consumer and institutional markets. Self-custody and stablecoin payments have gained wider adoption, while banks and asset managers have moved some tokenization and blockchain projects from pilot programs into production.

MetaMask users do not need to take action

MetaMask said the corporate separation would not immediately affect users.

The application, account access, assets and private keys remain unchanged, and customers do not need to migrate funds, download a new wallet or complete any other action.

This point matters because MetaMask operates as a self-custodial wallet. The company does not control users’ private keys, and the restructuring does not transfer custody of their assets.

MetaMask marked its tenth anniversary in July. According to Lubin, the wallet has recorded more than 100 million downloads across roughly 190 countries and handled trillions of dollars in cumulative transaction volume.

MetaMask plans to expand beyond a crypto wallet

As a standalone company, MetaMask aims to develop into a broader consumer financial platform built around what Lubin calls “Open Money.”

The company wants users to hold, spend, trade and grow their money through MetaMask while retaining direct control over their assets. That strategy would expand its role beyond providing access to tokens and decentralized applications.

MetaMask did not announce a new product, launch date or detailed development roadmap alongside the restructuring. Instead, the company presented the split as an organizational change designed to give its consumer business a single focus.

Consensys, meanwhile, will continue working on Ethereum technology, institutional infrastructure and protocols, including the Linea layer-2 network.
